These Terms and Conditions ("Terms") govern the use of services provided by LifeDesigns, a graphic design studio registered in Zimbabwe and operating from 211 Fife Avenue, Harare, Zimbabwe. By engaging our services, placing an order, or accessing our website, you agree to be bound by these Terms.
Please read these Terms carefully before commissioning any work. If you do not agree to these Terms, you should not engage our services. These Terms form a binding agreement between you ("the Client") and LifeDesigns ("the Studio").

Definitions
- "Studio" refers to LifeDesigns, its employees, contractors, and representatives.
- "Client" refers to any individual, business, or organisation that engages the Studio's services.
- "Project" refers to any agreed body of design work commissioned by the Client.
- "Deliverables" refers to the final design files, artwork, or materials produced under the Project.
- "Brief" refers to the Client's written description of requirements for a Project.
- "Proof" refers to any preliminary design presented to the Client for review and approval.
Acceptance of Terms
By accepting a quotation, making a payment deposit, or providing written instruction to proceed with any Project, the Client agrees to be bound by these Terms and Conditions in full. These Terms apply to all new and ongoing projects unless otherwise agreed in writing.
These Terms supersede any previous agreements, communications, or understandings between the Client and the Studio unless a separate written contract has been executed and signed by both parties.
Services & Scope of Work
The Studio provides graphic design services including, but not limited to:
- Brand identity design (logos, brand guidelines, corporate identity)
- Print design (brochures, flyers, posters, business cards, packaging)
- Digital and social media graphics
- Exhibition and signage design
- Marketing and advertising collateral
- Custom illustrations and infographics
The exact scope of each Project will be defined in a written quotation or project brief agreed upon before work commences. Any work requested beyond the agreed scope will be quoted and invoiced separately.
Quotations & Pricing
All quotations provided by the Studio are valid for 30 calendar days from the date of issue unless otherwise stated. Quotations are based on the information provided by the Client at the time of enquiry.
- Quotations are estimates; final pricing may vary if the Project scope changes.
- Prices are quoted in United States Dollars (USD) unless otherwise specified.
- Any applicable taxes or printing/production costs will be itemised separately.
- Rush fees may apply for projects requiring turnaround faster than the Studio's standard timeline.
The Studio reserves the right to revise pricing at any time. Confirmed orders at agreed pricing will not be subject to price increases unless the Project scope changes.
Payment Terms
The following payment schedule applies unless otherwise agreed in writing:
- 50% deposit is required before any design work commences.
- 50% balance is due upon completion and before final file delivery.
- For ongoing or retainer arrangements, invoices are issued monthly and are due within 14 days of issue.
Payment may be made by electronic funds transfer (EFT), mobile money, or other methods agreed upon with the Studio. The Studio reserves the right to suspend work if payment is overdue by more than 7 days.
Final design files and print-ready artwork will not be released until full payment has been received and cleared. Holding of files due to non-payment does not constitute a breach of contract by the Studio.
Revisions & Amendments
Each Project includes a defined number of revision rounds as stated in the quotation. Standard projects include:
- Logo Design: Up to 3 initial concepts and 2 rounds of revisions.
- Print / Digital Design: Up to 2 rounds of revisions per deliverable.
- Brand Identity Package: As specified in the project brief.
Additional revisions beyond the included rounds will be charged at the Studio's standard hourly or per-item rate, which will be communicated to the Client before work proceeds. A revision constitutes minor changes to an existing concept; a completely new creative direction constitutes a new concept and will be quoted accordingly.
Client Responsibilities
The Client agrees to:
- Provide clear, accurate, and complete information, content, and assets required for the Project.
- Review all proofs and provide timely, consolidated feedback within agreed timeframes.
- Ensure all text, images, logos, or other content provided to the Studio are owned by the Client or are licensed for commercial use.
- Obtain all necessary approvals, permissions, and sign-offs from internal stakeholders before instructing revisions or approving final artwork.
- Notify the Studio immediately of any changes to the Project scope, deadline, or requirements.
Delays caused by the Client's failure to provide required information or feedback may result in revised delivery timelines and additional charges.
Intellectual Property & Ownership
Before Final Payment: All design concepts, proofs, and artwork remain the intellectual property of LifeDesigns until full payment is received.
After Final Payment: Upon receipt of full payment, the Client is granted full ownership of the agreed Deliverables for their intended commercial use. The Studio retains the right to:
- Display the completed work in its portfolio, website, and marketing materials, unless the Client expressly requests confidentiality in writing prior to project commencement.
- Retain archival copies of all work produced for internal records.
Fonts, Stock Assets & Software: Any third-party fonts, stock images, or licensed assets incorporated into the design require separate licensing by the Client for their end use. The Studio will advise the Client of any such requirements.
The Client warrants that all content and materials provided to the Studio do not infringe the intellectual property rights of any third party. The Client will indemnify the Studio against any claims arising from such infringement.
Confidentiality
Both parties agree to treat as confidential any proprietary business information, trade secrets, or sensitive materials disclosed during the course of the Project. The Studio will not disclose Client confidential information to any third party without the Client's written consent, except where required by law.
This obligation of confidentiality survives the termination of the project engagement.
Delivery & Timelines
Project timelines will be agreed upon at the commencement of each Project. The Studio will make every reasonable effort to meet agreed deadlines. However, timelines are dependent on:
- Timely receipt of the required deposit and all Client-supplied materials.
- Prompt feedback and approval from the Client within agreed turnaround periods.
- The number and nature of revisions requested.
The Studio will not be held liable for delays caused by circumstances beyond its reasonable control, including but not limited to power outages, internet disruptions, third-party supplier delays, or force majeure events.
Final files will be delivered in formats specified in the project brief. Standard delivery formats include PDF, PNG, JPEG, and AI/EPS source files where applicable.
Cancellation & Refund Policy
Either party may cancel a Project at any time by providing written notice. The following terms apply upon cancellation:
- Client-initiated cancellation before work commences: The deposit will be refunded in full, less an administration fee of USD $25.
- Client-initiated cancellation after work has commenced: The Client will be invoiced for all work completed to date, based on the Studio's standard rates. Any deposit balance in excess of this amount will be refunded.
- Studio-initiated cancellation: The Studio will refund any amounts paid for work not yet completed and will endeavour to provide the Client with all work produced to date.
No refunds will be issued once the Client has approved and accepted final artwork, regardless of subsequent changes in requirements or circumstances.
Limitation of Liability
To the maximum extent permitted by Zimbabwean law, the Studio's total liability to the Client for any claim arising from or related to the services provided shall not exceed the total amount paid by the Client for the specific Project giving rise to the claim.
The Studio shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profit, loss of business opportunity, or reputational damage, arising from the use or inability to use the Deliverables.
The Client assumes full responsibility for proofreading all text and content included in the final designs before approving artwork for print or publication. The Studio is not liable for errors in text, spelling, or information approved by the Client.
Governing Law & Disputes
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Both parties agree to submit to the exclusive jurisdiction of the courts of Zimbabwe.
In the event of a dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation within 30 days of written notice of the dispute. If negotiation fails, the matter may be referred to mediation or arbitration before litigation is pursued.
Amendments to Terms
The Studio reserves the right to amend these Terms at any time. Updated Terms will be published on our website with a revised effective date. Continued engagement with our services following any amendment constitutes acceptance of the revised Terms.
